1. Scope and acceptance
- These terms of use (the “Terms”) apply to the TalkFrst mobile app (including test and beta versions), the website talkfrst.com and all related services (together, the “Service”), provided by TalkFrst BV, a private limited company under Belgian law, with its registered office at Vrijputstraat 40, 8540 Deerlijk, Belgium, registered in the Crossroads Bank for Enterprises under number 1043.790.076 (VAT BE1043.790.076) (“TalkFrst”, “we” or “us”).
- By creating an account or using the Service, you accept these Terms, our Privacy Policy and our Cookie Policy. If you do not agree, please do not use the Service.
- Additional terms may apply to specific features, promotions or rewards. These are shown when you use that feature and prevail over these Terms in case of conflict for that feature only.
2. Definitions
- User or you: any natural person who uses the Service.
- Green: the status a User switches on to signal they are open to a conversation right now. While green, a User can be discovered by other green Users as described in the Privacy Policy. Green status expires automatically.
- Corner: a physical venue, such as a café, coworking space or restaurant, that is listed in the Service as a place where Users are encouraged to meet.
- Partner Venue: a Corner operated by a third party that offers Rewards to Users.
- Sparks: virtual points awarded within the Service for positive real-life activity, as described in article 8.
- Reward: a benefit offered by a Partner Venue that can be redeemed with Sparks.
- Content: any information you add to the Service, such as your profile photo, display name, tags, conversation starters and report descriptions.
3. Who can use TalkFrst
To use the Service, you must:
- be at least 18 years old;
- be legally able to enter into a binding agreement with us;
- not have been convicted of a violent or sexual offence, and not be required to register as a sex offender in any jurisdiction;
- not have been previously removed from the Service by us, unless we have given you written permission to come back;
- use the Service for personal, non-commercial purposes only.
You may hold only one account. Businesses, venues and organisations may not create a personal account to promote themselves; contact us if you are interested in becoming a Partner Venue.
4. Your account
- You are responsible for the information you provide. It must be accurate and up to date, and your profile photo must clearly show you, so that others can recognise you when you meet.
- You are responsible for keeping your login credentials secret and for all activity on your account. Tell us immediately at hello@talkfrst.com if you suspect someone else has access to it.
- You may not sell, transfer or share your account, your referral code for payment, or your Sparks.
5. Community rules
TalkFrst exists to make the world a little kinder and more connected. When using the Service, and when meeting people through it, you agree not to:
- harass, bully, threaten, stalk, intimidate or follow anyone, or keep approaching someone who has made clear they are not interested;
- engage in hate speech or discriminate against anyone based on ethnicity, nationality, religion, gender, gender identity, sexual orientation, disability, age or any other protected characteristic;
- post or send nudity, sexually explicit or violent content, or content that is illegal, misleading or infringes someone else's rights;
- impersonate anyone, or create a fake or misleading profile;
- use the Service for commercial solicitation, advertising, spam, pyramid schemes or to sell goods or services;
- use the Service to commit or promote fraud, scams, or any other illegal activity;
- falsify your location, manipulate check-ins or conversation confirmations, or otherwise game the Sparks system;
- collect other Users' data, use bots, scrapers or other automated means, or reverse-engineer, decompile or interfere with the Service or its security;
- use information obtained through the Service to contact, locate or harm someone outside of what they have chosen to share;
- encourage or help anyone else to do any of the above.
6. Meeting people in real life
- TalkFrst helps people who are open to a conversation find each other in real places. You are solely responsible for your interactions with other Users, online and offline.
- We do not conduct criminal background checks or identity verification of Users, and we make no promises about the conduct, intentions or identity of any User.
- Please use common sense: meet in public places such as Corners, tell a friend where you are, stay in control of your own transport, and leave if you feel uncomfortable. You can go off green, block or report someone at any time. Our safety tips are available in Profile › Privacy & safety.
- If you are in immediate danger, call the emergency services (112 in the EU) first, then report the User to us.
7. Your content
- You keep ownership of your Content. You are responsible for it and you confirm that you have the right to share it.
- You grant TalkFrst a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display and adapt (for example resize) your Content, solely to operate, provide and improve the Service. This licence ends when you delete your Content or your account, except for Content we must keep for legal or safety reasons as described in the Privacy Policy.
- We do not use your profile photo or name in marketing without your separate permission.
- We may remove Content that breaks these Terms or the law, as described in article 11.
8. Sparks and rewards
- You can earn Sparks by going green, checking into Corners, confirming real-life conversations, inviting friends and through occasional promotions. The current earning rules are shown in the app and may change over time, for example to keep the system fair.
- Sparks are a limited, personal, revocable licence to use a feature of the Service. They are not money, have no monetary value, cannot be bought, sold, transferred or exchanged for cash, and are not your property.
- Rewards are offered by Partner Venues, subject to availability and to any conditions shown with the Reward. The Partner Venue is responsible for providing the Reward and for the quality of its products and services. Redeemed Sparks are not refundable.
- We may cancel Sparks that were awarded in error or obtained by breaking these Terms (for example by faking a location or conversation), and we may reverse redemptions obtained this way.
- Sparks that have not been used are lost when your account is closed. We may change, rebalance or end the Sparks programme, including during or after the test phase; where reasonably possible we will give you advance notice in the app.
9. Corners and partner venues
- Corners are independent venues. Listing a Corner does not mean that we operate, inspect or guarantee the venue, its safety, its opening hours or its products.
- When you visit a Corner, the venue's own house rules and terms apply. Please respect the venue, its staff and its other guests.
10. Test versions
- We may offer early, test or beta versions of the Service. These are provided for testing purposes, may contain bugs, may be incomplete, and may be changed, reset (including Sparks balances) or discontinued at any time.
- We appreciate your feedback. By sending us feedback or suggestions, you allow us to use them freely to improve the Service, without any obligation towards you.
- Signing up on talkfrst.com/beta does not guarantee access to a test version.
11. Reporting and moderation
- You can report a User or Content that you believe breaks these Terms or the law directly in the app, or by emailing hello@talkfrst.com with a clear description and, where possible, the profile concerned. Reports are reviewed by people, not only by automated means.
- If we find a breach, we may, depending on its seriousness: remove Content, issue a warning, temporarily restrict features, cancel Sparks, or suspend or permanently close the account. Where required by law, we may also inform the competent authorities.
- Unless this would compromise safety or an investigation, we will tell you about a decision affecting your account or Content, explain the reasons and how you can contest it by replying to that message. You also retain the right to go to court.
12. Ending your use
- You can stop using the Service at any time and delete your account in Profile › Privacy & safety.
- We may suspend or close your account, with immediate effect and without compensation, if you break these Terms, if your use poses a risk to other Users or to us, or if required by law. In other cases we will give you reasonable notice.
- Articles that by their nature should continue after your account ends (such as articles 7.2 for retained Content, 13, 14 and 18) remain in force.
13. Intellectual property
- TalkFrst and its licensors retain all intellectual property rights in the Service, including the app, software, design, brand names, logos and texts, but excluding your Content.
- We grant you a personal, non-exclusive, non-transferable and revocable licence to use the Service for its intended purpose, in accordance with these Terms.
14. Liability
- We provide the Service with due care and on a best-efforts basis. The Service is provided “as is” and “as available”; we do not guarantee that it will be uninterrupted, error-free or that it will lead to any particular result, such as meeting someone.
- We are not liable for the conduct of Users or other third parties, online or offline, nor for the venues, products or Rewards offered by Partner Venues.
- To the extent permitted by law, we are not liable for indirect damages, such as loss of profit, loss of data or loss of opportunity. Our total liability towards you is limited to EUR 100.
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by our fault, for our fraud, wilful misconduct or gross negligence, or any other liability that cannot be limited or excluded under applicable law, including your rights as a consumer.
- You agree to indemnify us against claims of third parties arising from your Content or from your breach of these Terms or the law, to the extent permitted by law.
15. Force majeure
We are not liable for any failure or delay in providing the Service caused by circumstances beyond our reasonable control, such as natural disasters, fire, epidemics, war, strikes, government measures, failure of energy supply, or widespread outages of internet, hosting or telecommunications providers. Our obligations are suspended for as long as the impediment lasts.
16. Privacy
We process your personal data as described in our Privacy Policy. It explains what we collect, how we keep your exact location private, and how you can exercise your rights.
17. Changes to these terms
We may change these Terms, for example when we add features or when the law changes. We will notify you of significant changes in the app or by email at least 30 days before they take effect, unless a shorter period is required for legal or safety reasons. If you do not agree to the new Terms, you can delete your account before they take effect. If you keep using the Service afterwards, you accept the updated Terms.
18. Miscellaneous and governing law
- If any provision of these Terms is held to be invalid or unenforceable, the other provisions remain in force. The invalid provision will be replaced by a valid one that comes as close as possible to its original purpose.
- If we do not enforce a provision, this does not mean we waive our right to do so later.
- You may not transfer your rights or obligations under these Terms. We may transfer them to an affiliated company or a successor of our activities, provided this does not reduce your rights.
- These Terms are governed by Belgian law. If you are a consumer living in another EU country, you also keep the protection of the mandatory rules of your country of residence.
- We would rather solve any issue with you directly, so please contact us first at hello@talkfrst.com. If we cannot agree, disputes will be submitted to the competent courts of Ghent, Kortrijk division, without prejudice to your right as a consumer to bring proceedings before the courts of your place of residence.
